Closing deals requires alignment on key terms. Before diving into diligence, lock down major points like valuation, governance, and exits. This understanding enables efficient negotiations later. If left unaddressed early, critical issues can stall momentum as parties grow frustrated. đ I've been asked for a long time to talk about my M&A experience.I want to tell about one deal that I was responsible for. We had a complex negotiation process, extensively discussing various details with the shareholder of the second party. At some point, we encountered a situation where our positions diverged significantly. It seemed like the deal was very close to failure. At that moment, I decided to pause and take a break to reflect. I conducted an analysis to determine whether the matters we were discussing were truly important and material to us. Afterward, I found new ways to articulate our perspective to the other party, we revisited the discussion and managed to reach an agreement. This deal stands out as one of our most successful, as it significantly expanded our team and provided us with new expertise that we were able to leverage.đĄ The moral is that sometimes it's necessary to stop, look around, and think, and then continue moving forward.Have you ever faced a situation where it was necessary to pause, reflect, and then proceed?
